1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ReyaTech Systems Private Limited ("ReyaTech," "we," "us," or "our") regarding your use of the ReyaTech VLSI Education Platform (the "Platform" or "Service").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform.

2. Service Description

ReyaTech provides an online VLSI (Very Large Scale Integration) education platform offering:

• Educational Courses: Structured learning modules covering VLSI design, verification, and related topics
• AI-Powered Tutoring: Intelligent tutoring system powered by advanced AI for personalized learning assistance
• Code Simulations: Interactive simulation environments for hands-on practice and experimentation
• Assessments: Quizzes, assignments, and projects to test your knowledge and skills
• Certifications: Industry-recognized certificates upon successful course completion
• Learning Analytics: Progress tracking and personalized recommendations
• Community Features: Forums, discussions, and peer interaction (when available)

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time with or without notice.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years old to create an account and use the Platform. If you are under 18:

• You must obtain consent from a parent or legal guardian before registering
• Your parent or guardian must agree to these Terms on your behalf
• Your parent or guardian is responsible for your use of the Platform

3.2 Account Creation

To access certain features, you must create an account by providing:

• Accurate and complete registration information
• A valid email address
• A secure password

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Not sharing your account with others or allowing others to access your account

4. User Obligations and Conduct

You agree to use the Platform in compliance with all applicable laws and these Terms. You agree NOT to:

4.1 Prohibited Activities

• Unauthorized Access: Attempt to access accounts, data, or systems you are not authorized to access
• Security Violations: Probe, scan, or test vulnerabilities; breach security or authentication measures
• System Interference: Interfere with or disrupt the Platform's functionality, servers, or networks
• Reverse Engineering: Decompile, disassemble, reverse engineer, or attempt to derive source code
• Data Mining: Use automated tools (bots, scrapers, crawlers) to extract data without permission
• Content Misuse: Copy, reproduce, distribute, or create derivative works from course materials without authorization
• Commercial Use: Resell, sublicense, or commercially exploit the Platform or its content
• Impersonation: Impersonate any person or entity, or falsely state affiliation with any person or entity
• Harmful Content: Upload or transmit viruses, malware, or any malicious code
• Illegal Activities: Use the Platform for any unlawful purpose or to violate any laws

4.2 Community Conduct

When interacting with others on the Platform, you must not:

• Harass, bully, threaten, or intimidate other users
• Post offensive, discriminatory, or hateful content
• Share spam, advertisements, or unsolicited promotional material
• Infringe on others' intellectual property or privacy rights
• Post false, misleading, or deceptive information

4.3 Academic Integrity

• Complete assessments and assignments independently unless collaboration is explicitly permitted
• Do not share assessment answers or solutions with others
• Properly attribute any external sources or references used in your work
• Do not attempt to cheat or circumvent assessment mechanisms

5. Subscription Plans and Pricing

ReyaTech offers multiple subscription tiers:

6. Payment Terms

6.1 Payment Processing

• All payments are processed securely through Razorpay, our authorized payment gateway partner
• We accept credit cards, debit cards, UPI, net banking, and other payment methods supported by Razorpay
• Payment information is handled directly by Razorpay and not stored on our servers

6.2 Billing Cycle

• Subscriptions are billed monthly on a recurring basis
• Your billing cycle begins on the date you subscribe
• Payments are automatically charged to your payment method on each billing date
• You will receive a payment confirmation and invoice via email

6.3 Auto-Renewal

• Subscriptions automatically renew at the end of each billing period unless cancelled
• You will be charged the then-current subscription price
• We will send a reminder email before each renewal
• To avoid charges, cancel at least 24 hours before the renewal date

6.4 Taxes

• Applicable taxes (GST, VAT, etc.) will be added to your subscription price based on your billing address
• Tax rates are determined by Indian tax laws and may change
• Invoices will clearly show the breakdown of charges and taxes

6.5 Failed Payments

• If a payment fails, we will attempt to process it again within 3-5 days
• Your access to premium features may be temporarily suspended until payment is successful
• If payment fails repeatedly, your subscription may be cancelled
• You are responsible for updating payment information to ensure uninterrupted service

7. Cancellation and Refunds

7.1 Cancellation Policy

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of your current billing period
• You will continue to have access to premium features until the end of the paid period
• No partial refunds are provided for unused time in the current billing period
• After cancellation, your account reverts to the Free tier

7.2 Refund Policy

• Partial billing periods if you cancel mid-cycle
• Unused subscription time
• Dissatisfaction with course content (we recommend trying the Free tier first)
• Duplicate payments (except in cases of clear billing errors)
• Accounts terminated for Terms violations

7.3 Exceptions

Refunds may be considered only in the following cases:

• Technical errors resulting in duplicate charges (within 7 days of transaction)
• Unauthorized charges (reported within 48 hours with proof)
• Service unavailability exceeding 7 consecutive days (pro-rated refund)

8. Intellectual Property Rights

8.1 ReyaTech's Intellectual Property

All content and materials on the Platform are owned by or licensed to ReyaTech, including:

• Course content, videos, text, graphics, and illustrations
• Software code, algorithms, and platform architecture
• Trademarks, logos, and branding elements
• AI tutor models and training data
• Assessment questions and grading rubrics

These materials are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License to Users

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use course materials for personal, non-commercial learning purposes only
• Download materials for offline study (where explicitly permitted)
• Share certificates of completion on professional networks

8.3 Restrictions

You may NOT:

• Reproduce, distribute, or publicly display course materials without written permission
• Create derivative works or modifications of Platform content
• Use Platform content for commercial purposes or training programs
• Remove or alter copyright notices, watermarks, or attribution
• Share course access credentials or allow others to access your account
• Record, screenshot, or redistribute video lectures or live sessions

8.4 User Ownership

You retain ownership of:

• Original code, designs, and projects you create during courses
• Forum posts, comments, and discussions you contribute

By submitting content to the Platform, you grant ReyaTech a worldwide, royalty-free license to use, reproduce, and display your content for Platform operations, improvements, and promotional purposes.

9. User-Generated Content

9.1 Content You Submit

When you submit content (code, comments, forum posts, feedback), you represent and warrant that:

• You own or have rights to the content
• The content does not infringe on others' intellectual property rights
• The content does not violate any laws or these Terms
• The content is accurate and not misleading

9.2 Content Moderation

• We reserve the right to review, monitor, and remove any user-generated content at our discretion
• We may remove content that violates these Terms or is otherwise objectionable
• We are not obligated to monitor or review all user content
• We are not responsible for user-generated content or opinions expressed by users

10. Platform Usage and Restrictions

10.1 Fair Use

• The Platform is for individual educational use only
• Excessive API calls, automated requests, or abusive usage may result in rate limiting or suspension
• Simulation resources are subject to fair usage limits to ensure availability for all users

10.2 AI Tutor Usage

• The AI tutor is for educational assistance only and should not be used for exam cheating
• AI responses are generated by machine learning models and may contain errors
• Always verify AI-provided information and use critical thinking
• Abusive or inappropriate queries to the AI tutor are prohibited

11. Disclaimers and Warranties

11.1 No Warranties

To the fullest extent permitted by law, ReyaTech disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that the Platform will be uninterrupted, secure, or error-free
• Warranties that defects will be corrected

11.2 Educational Content Disclaimer

• Course content is for educational purposes only and may not reflect the latest industry standards
• We do not guarantee job placement, career advancement, or specific learning outcomes
• Certifications are issued based on Platform assessments and may not be recognized by all employers
• The Platform does not provide professional advice (legal, financial, engineering consultation)

11.3 Third-Party Content

The Platform may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of third-party sites.

12. Limitation of Liability

12.1 Exclusions

ReyaTech is not liable for:

• Loss of profits, revenue, data, or business opportunities
• Service interruptions or downtime
• Errors in content or assessments
• Unauthorized access to your account due to your failure to secure credentials
• Actions or content of other users
• Third-party service failures (including Razorpay, OpenAI, cloud providers)

12.2 Maximum Liability

Our total liability for all claims related to the Platform shall not exceed the amount you paid us in the 12 months preceding the claim, or ₹5,000, whichever is lower.

12.3 Jurisdictional Variations

Some jurisdictions do not allow certain liability exclusions. In such cases, our liability is limited to the extent permitted by law.

13. Account Termination

13.1 Termination by You

• You may delete your account at any time from account settings
• Account deletion is permanent and cannot be undone
• We will retain certain data as required by law or for legitimate business purposes (see Privacy Policy)
• Active subscriptions should be cancelled before account deletion to avoid future charges

13.2 Termination by ReyaTech

We reserve the right to suspend or terminate your account immediately if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Abuse or harass other users or staff
• Use the Platform in a way that harms our systems or other users
• Fail to pay subscription fees
• Provide false information during registration

13.3 Effects of Termination

• You will immediately lose access to all Platform features
• Subscription fees are non-refundable upon termination for violations
• Licenses granted to you under these Terms will terminate
• Provisions that by their nature should survive (liability limitations, dispute resolution) will continue to apply

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Specifically, the laws of Karnataka state shall apply.

14.2 Jurisdiction

You agree that any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of Bangalore, Karnataka, India, and you consent to the jurisdiction of such courts.

14.3 Arbitration

Before filing any lawsuit, you agree to attempt to resolve disputes through binding arbitration:

• Arbitration will be conducted in Bangalore, Karnataka, India
• Arbitration will be conducted in English
• The arbitrator's decision will be final and binding
• Each party bears its own costs unless the arbitrator decides otherwise

14.4 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions, class arbitrations, or representative actions.

14.5 Informal Resolution

Before pursuing arbitration or legal action, please contact us at support@reyatech.com to attempt informal resolution.

15. Changes to These Terms

We may update these Terms from time to time to reflect:

• Changes in our Platform features or services
• Legal or regulatory requirements
• Security or operational improvements
• Pricing or subscription changes

15.1 Notice of Changes

• We will update the "Last Updated" date at the top of this page
• For material changes, we will notify you via email or prominent Platform notice at least 30 days before changes take effect
• Continued use of the Platform after changes take effect constitutes acceptance of the new Terms

15.2 Your Options

If you do not agree to the updated Terms:

• You may cancel your subscription before the changes take effect
• You may delete your account
• You must stop using the Platform

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ReyaTech regarding the Platform.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

17.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Force Majeure

ReyaTech is not liable for delays or failures in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, pandemics, or internet/infrastructure failures.
